1. Agreement to Terms

By accessing or using the services provided by Inspiry Solutions (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. Inspiry Solutions provides web development and digital services, including but not limited to WordPress development, Shopify development, full-stack web application development, UI/UX design, mobile-first solutions, and ongoing maintenance and support. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or statement of work agreed upon by both parties.

3. Client Responsibilities

As a client, you agree to:

Provide accurate and complete information, content, and materials required for the project in a timely manner.
Respond to requests for feedback, approvals, or clarifications within reasonable timeframes to avoid project delays.
Ensure that all content, images, and materials you provide do not infringe upon any third-party intellectual property rights.
Maintain the confidentiality of any account credentials or access details provided during the course of the project.

4. Payment Terms

Payment terms will be specified in the project proposal or statement of work. Unless otherwise agreed, a deposit is required before work begins, with the remaining balance due upon project completion. Late payments may incur additional charges. We reserve the right to pause or suspend work on any project with outstanding payments until the balance is settled.

5. Intellectual Property

Upon full payment, all custom work created specifically for your project, including designs, code, and content developed by our team, will be transferred to you. We retain the right to use general techniques, knowledge, and non-client-specific components developed during the project. We also reserve the right to showcase the completed project in our portfolio unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, technical specifications, user data, and financial information. This obligation of confidentiality survives the termination of the agreement.

7. Warranties & Disclaimers

We strive to deliver high-quality work that meets the specifications outlined in the project agreement. However, our services are provided “as is” without warranties of any kind, express or implied. We do not guarantee that our services will be uninterrupted, error-free, or free of vulnerabilities. We are not responsible for any issues arising from third-party services, plugins, APIs, or hosting environments used in connection with your project.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Inspiry Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Termination

Either party may terminate a project engagement by providing written notice to the other party. In the event of termination, the client shall pay for all work completed up to the date of termination. Any deposits or payments made for uncompleted work will be handled in accordance with the cancellation terms specified in the project proposal. Upon termination, we will provide all completed deliverables and return any client-provided materials.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Inspiry Solutions operates. Any disputes arising from these terms or the use of our services shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration or the appropriate courts of the governing jurisdiction.

11. Changes to Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page with a revised “Last updated” date.
